Terms & Conditions of Engagement
(When working under Fresh Bread Media Ltd – Freelance Cinematography Services)
These Terms & Conditions (“Agreement”) apply exclusively to cinematography services provided by Fresh Bread Media Ltd (“Contractor”) to the commissioning party (“Client”).
In all cases where the Client is quoted, contracted, invoiced, or otherwise engaged via Fresh Bread Media Ltd (including under the trading style “T/A Fresh Bread Media Ltd”), these Terms & Conditions shall apply in full and shall constitute the binding contract between the Client and the Contractor.

1. Scope of Services
1.1 Services shall be provided as agreed in writing between the Contractor and the Client prior to commencement of the shoot.
1.2 Unless expressly included in a written quotation, all transport, accommodation, and ancillary costs are excluded and will be chargeable to the Client.

2. Equipment & Insurance
2.1 Any camera, lighting, sound, or ancillary equipment (“Equipment”) supplied within the agreed rate must be insured by the Client under the Client’s company insurance policy against loss, theft, or damage, for the duration of the agreed working hours.
2.2 The Client is required to provide a minimum of £10,000.00 Equipment Insurance Cover for the duration of this shoot.
2.3 The Client shall be responsible for arranging and maintaining adequate insurance for:
• (a) Any accidental damage to the filming location(s);
• (b) Health and travel insurance for all personnel, including the Contractor, for the entirety of travel and shoot.
2.4 A valid insurance cover note must be provided by the Client prior to the shoot.

3. Data, Media & Back-Up
3.1 DiT & Media Management: Back-up of footage, data wrangling, or media management will only be undertaken where expressly agreed in writing prior to the shoot.
3.2 Unless such agreement is made, no responsibility or liability is accepted by the Contractor for:
• (a) The capture of footage;
• (b) The transfer, storage, or corruption of data/media;
• (c) The security or integrity of supplied media/cards/recording devices.
3.3 All responsibility for captured footage and its safe transfer/back-up remains solely with the Client and/or production team.

4. Fees, Overtime & Breaks
4.1 The agreed day rate covers up to 10 hours of continuous work (excluding breaks).
4.2 Overtime (“OT”) is chargeable as follows:
• T1.5: £150 per hour (for work beyond 10hrs, up to 14hrs)
• T2.0: £200 per hour (for work beyond 14hrs)
• T3.0: £250 per hour (for work after midnight)
4.3 Short Turnaround (“ST”): where there are fewer than 11 hours between wrap and the following call time, the hourly rate shall be charged at T2.0.
4.4 No Lunch Break (“NLB”): if no meal break is provided, additional charges will apply at T2.0.

5. Cancellations
5.1 Within 24 hours of the agreed shoot start or travel date: 100% of the agreed fee is payable (or funds paid are forfeited).
5.2 Between 24–72 hours prior to the shoot start or travel date: 100% of the agreed fee is payable (or funds paid are forfeited).
5.3 More than 72 hours prior to the shoot start or travel date (after written confirmation of booking): 50% of the agreed fee is payable (or funds paid are forfeited).

6. Refunds
6.1 Refunds are not generally provided, except at the sole discretion of the Contractor.
6.2 Where a refund is offered in writing by the Contractor, the Client must confirm acceptance in writing within 14 days of the offer date.
6.3 If no written acceptance is received within this period, the refund offer is deemed withdrawn and no further refund shall be due.

7. Liability
7.1 The Contractor shall exercise due professional skill and care in performing services.
7.2 The Contractor shall not be liable for any indirect, consequential, or economic losses.
7.3 Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be excluded under law.

8. Governing Law
8.1 This Agreement is governed by and construed in accordance with the laws of England and Wales.
8.2 Any disputes shall be subject to the exclusive jurisdiction of the English courts.

9. Communications & Service Provider
9.1 Where the Client is quoted, contracted, or invoiced under “T/A Fresh Bread Media Ltd”, the Client acknowledges that all services are provided by and payable to Fresh Bread Media Ltd.
9.2 All communications, including but not limited to project queries, contractual matters, complaints, or disputes, must be directed exclusively through www.freshbreadfilms.com.
9.3 The Contractor may act as a point of contact and facilitate services, but the Client accepts that Fresh Bread Media Ltd is the provider of record, and all obligations, payments, and liabilities rest with Fresh Bread Media Ltd.
